TERMS AND CONDITIIONS*

CREDIT:

Applicant will be billed individually for each shipment made on the account with Global O-Ring & Seal, LLC, (referred to in this document as GOR). Statements will not be furnished unless requested.

Terms are net 30 days.

Applicant certifies that the information submitted herein for the purpose of obtaining credit is correct and accurate in all material respects and further, authorizes GOR to inquire of principal trade creditors, banks, credit agencies and other credit references to check applicant’s credit history and for periodic credit reviews, and authorizes GOR to answer questions from others about its credit experience with applicant. Applicant agrees to notify GOR, in writing, of any changes in the form of ownership of applicant’s business within five days of such change. The undersigned agrees and consents that facsimile signatures shall be deemed original signatures for all purposes.

It is agreed that in the case of litigation, it will be tried in the County of Harris, in the State of Texas. Applicant further agrees to pay all cost of collection, including reasonable attorney’s fees incurred by GOR, in the event that all sums due GOR, are not timely paid.

PRICING:

All quotes are valid for a period of 90 days; prices are otherwise subject to change without notice. Possession of our price list does not necessarily entitle the holder to the prices shown. Minimum invoice is $1.00 USD net per line, $5.00 USD total invoice. Orders paid with credit card require $25.00 USD total invoice minimum.

CANCELLATION:

All orders are subject to acceptance by Global O-Ring and Seal, LLC. We reserve the right to cancel any order without notice. Purchaser may cancel an order for standard product at any time prior to shipment but will be invoiced for any costs incurred prior to cancellation notice, including but not limited to labor, tooling, or parts costs. Orders for custom products are subject to a 100% cancellation fee.

DELIVERY:

We will make every effort to meet your delivery requirements; however, ship dates are not guaranteed. Orders received after 3:00 PM CST will be processed the next business day unless other arrangement is made with our sales department. Lead time will be quoted for any orders requiring labor or sourcing. Global O-Ring and Seal, LLC cannot be responsible for delays caused by carriers, fires, strikes, accidents, or any other cause beyond our control. All goods are sold FOB our warehouse in Houston, Texas. Global O-Ring and Seal, LLC is not responsible for any shipping charges unless otherwise excepted and agreed upon prior to shipping. All applicable prepaid freight charges, including delivery charges, will be added to our invoice.

CLAIMS:

All claims or shortages must be declared within 30 days after receipt of merchandise, unless otherwise excepted by Global O-Ring and Seal, LLC. Products are warranted against defects in workmanship and materials. Products having such defects will be replaced or credited as Global
O-Ring and Seal, LLC elects. Defective merchandise must be returned within 30 days of claim. Liability is limited to the invoice value of the defective item. No allowance will be made for repairs performed by the purchaser or end user. A Return Goods Authorization (RGA) number must be obtained from Global O-Ring and Seal, LLC before returning any merchandise.

RETURNS:

Unused merchandise in its original condition may be returned for credit or refund, with the exception of custom-made parts. All returns must be requested within 30 days after receipt of merchandise, unless otherwise excepted by Global O-Ring and Seal, LLC. Merchandise must be returned within 30 days of return request. A Return Goods Authorization (RGA) number must be obtained from Global O-Ring and Seal, LLC before returning any merchandise. Purchaser is responsible for any freight charges to return merchandise. Returns are subject to a 15% restocking fee.

LIABILITY:

Global O-Ring and Seal, LLC will not be held liable for consequential or other damages or any expenses incurred through the use of its products.
